How Long Do You Have to Stay After You Sell Your Business?

There is no standard length of time. How long you stay depends on the agreements you negotiate with the buyer, and transition periods vary widely. Your obligations come from the signed purchase agreement, related contracts, and applicable law, not from a general rule.

What Do Transition Arrangements Look Like?

Buyers often ask sellers to stay on through an employment agreement, consulting agreement, or transition services arrangement. The goal is to introduce customers, train staff, and transfer knowledge. Your role, hours, and pay should be set out in writing.

How Do Earnouts and Seller Financing Affect Your Role?

If part of the price is an earnout tied to future performance, your involvement may affect the result, so understand how performance is measured and what control you will have. With seller financing, you remain a lender to the buyer, which keeps you financially connected to the business, although it does not automatically require you to work in it.

Do Noncompete Agreements Apply?

Buyers often ask sellers to sign a noncompete that limits the time, geographic area, and type of activity. In the United States, enforceability depends on state law, and a few states ban or sharply limit these agreements. The FTC’s 2024 effort to ban noncompetes nationwide was vacated by federal courts, and the FTC removed the rule in February 2026, so state law remains the main guide. Payments for a noncompete or consulting can be taxed differently than purchase price, so have your attorney and tax advisor review the terms.

Frequently Asked Questions

Can I negotiate a shorter transition?

Yes. Length, duties, and pay are negotiable, and a documented plan for handing off key relationships can support a shorter period.

Can I leave right after closing?

Sometimes. Buyers often want some transition support, especially when the business depends heavily on the owner, and that dependence can also affect price.
